Terms of Service

1. Acceptance of terms

By accessing or using BidReady ("the Service"), a product of VeritexAI, Inc. ("VeritexAI," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these terms from time to time; continued use after changes constitutes acceptance.

2. Description of service

BidReady is a bid response platform for trade contractors and general contractors. The Service parses bid documents, generates draft takeoffs and estimates, and assembles proposal documents. All outputs are drafts that require your review and approval before use. BidReady does not submit bids on your behalf.

3. Accounts and eligibility

You must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. One person or business per account unless you are on a tier that supports multiple user seats.

4. Subscriptions and billing

• BidReady offers three subscription tiers: Apprentice, Journeyman, and Master. Pricing and features for each tier are described on our Pricing page.
• Subscriptions are billed monthly or annually, depending on your selection.
• You may upgrade your tier at any time. Downgrades take effect at the end of your current billing cycle.
• There are no hidden per-bid fees. Processing costs are included in your subscription.
• If you cancel within the first 30 days, we will prorate your refund.
• After cancellation, your data is retained for 30 days before permanent deletion.

5. Your data

You retain full ownership of all data you upload to BidReady, including bid documents, specifications, drawings, and any other files. We do not claim ownership of your content.

You grant us a limited license to process your data solely for the purpose of providing the Service — parsing documents, generating estimates, assembling proposals, and building your organization's private bid history index. We do not use your data to train models, sell to third parties, or for any purpose beyond delivering the Service to you.

You may export your data at any time. Upon account deletion (after the 30-day grace period), all your data is permanently removed from our systems.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious files, scripts, or content designed to exploit the system
• Attempt to access another organization's data
• Resell, sublicense, or redistribute the Service without our written consent
• Circumvent rate limits, cost caps, or other safety mechanisms
• Use automated scripts to access the Service outside of our documented API

7. Accuracy and your responsibility

BidReady generates draft estimates, takeoffs, and proposals. These are starting points — not final deliverables. You are responsible for reviewing, adjusting, and approving all outputs before submitting them to general contractors, owners, or any other party. BidReady is not a substitute for professional judgment, and we do not guarantee the accuracy of any generated output. Every stage of the pipeline includes a human approval checkpoint for this reason.

8. Cost controls

BidReady enforces a $5 per-turn cost cap on all processing. If a processing step would exceed this cap, it fails safely before any additional cost is incurred. Your subscription includes all processing costs — there are no surprise usage-based charges.

9. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

10. Limitation of liability

To the maximum extent permitted by law, VeritexAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of bids, inaccurate estimates, or business interruption, arising out of or related to your use of the Service. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless VeritexAI, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your submission of bids based on BidReady outputs.

12. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. We may suspend or terminate your account if you violate these Terms. Upon termination, your data retention and deletion follows the process described in our Privacy Policy.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia.
